Tata Motors Acquires Majority Stake in Iveco Group

New Delhi: Tata Motors has successfully acquired an impressive 89.42% stake in the Italian commercial vehicle manufacturer, Iveco Group, effectively making it an indirect subsidiary of the Indian automotive giant following the completion of its tender offer.

In a collaborative announcement made on Friday, the companies revealed that TML CV Holdings B.V., a wholly-owned subsidiary of Tata Motors, has purchased 238,157,212 common shares of Iveco, which constitutes around 89.42% of its common share capital, excluding treasury shares.

The statement confirmed, "Iveco Group is now integrated into Tata Motors."

This acquisition marks Tata Motors' most significant move since its purchase of Jaguar Land Rover from Ford back in 2008.

The settlement comes after the voluntary tender offer acceptance period, during which Tata Motors proposed a cash offer of EUR 14.4 per share for Iveco's common shares.

The acceptance period will reopen for five trading days from November 2 to November 6, 2026, providing shareholders with another chance to tender their shares, with the settlement for these shares scheduled for November 13.

The companies indicated that additional details regarding post-offer procedures, including voluntary purchase processes and potential legal actions, will be shared in due course.

Post-settlement, Iveco Group has also announced modifications to its board and governance structure.

N Chandrasekaran, Chairman of Tata Sons, has been appointed as Chairperson and Senior Non-Executive Director, while Olof Persson will maintain his role as Chief Executive Officer. P B Balaji and Girish Wagh from Tata Motors have joined the board as non-independent non-executive directors.

Independent non-executive directors include Guenter Butschek and Charles Nichols.

The company has also restructured its board committees, updated its corporate governance documents, and repurchased all special voting shares.

Iveco Group has expedited the release of its third-quarter financial results to November 3, 2026.

Initially, Tata Motors offered EUR 14.10 per share for Iveco, later increasing the offer by EUR 0.30 to EUR 14.40 per share, inclusive of dividends, on October 9.

In 2025, Tata Motors announced its intention to acquire Iveco, excluding its defense sector, in a deal valued at approximately EUR 3.8 billion (around Rs 38,240 crore) through TML CV Holdings Pte Ltd.

This acquisition aims to enhance Tata Motors' global footprint in the commercial vehicle sector by leveraging Iveco's established operations and diverse product offerings.

Founded in 1975 and based in Amsterdam, Iveco Group is a prominent international manufacturer of commercial vehicles and automotive technology, boasting a rich Italian heritage. The company operates across various sectors, including trucks, buses, powertrain technologies, and financial services through multiple brands.
