HDFC Bank Faces Share Pressure Amid Executive Disciplinary Actions
HDFC Bank's Stock Reaction
Shares of HDFC Bank experienced a decline during Tuesday's morning trading session after the bank announced disciplinary measures against three of its top executives. This decision was made following an internal review related to the bank's deposit arrangements with the Maharashtra State Road Development Corporation (MSRDC). By approximately 10:00 am on the National Stock Exchange (NSE), the stock was priced at Rs 732.95, reflecting a decrease of 0.89% from the previous day's close as investors responded to the news.
The bank disclosed to the stock exchanges that its board had sanctioned a penalty of Rs 1 lakh each for Managing Director and CEO Sashidhar Jagdishan, Chief Financial Officer Srinivasan Vaidyanathan, and Group Head of Retail Assets Arvind Vohra. This action stems from findings related to the bank's interactions with MSRDC concerning deposit mobilization efforts in 2017 and 2021.
According to the regulatory filing, the Special Disciplinary Committee of Independent Directors assessed the situation and found no definitive evidence of wrongful conduct, personal benefit, or improper motives among those involved. However, the committee concluded that certain actions constituted 'business overreach.'
The bank stated, 'Considering any potential discrepancies with the applicable RBI Directions and based on the recommendations, the Board decided to issue warning letters and impose a monetary penalty of Rs 1 lakh on three senior employees (the Managing Director & CEO, Chief Financial Officer, and Group Head - Retail Assets), along with warning letters for the other employees.'
Additionally, the board mandated that the findings from the review be reported to the Reserve Bank of India (RBI).
Previous Allegations and Controversy
This recent announcement follows earlier allegations from May, which suggested that HDFC Bank had made a payment of Rs 45 crore to MSRDC to secure significant deposits. Reports indicated that these payments were categorized as 'marketing spends' and implied that CEO Sashidhar Jagdishan was aware of these transactions. HDFC Bank firmly denied these claims, asserting that its governance framework, internal controls, audit systems, and oversight mechanisms were sound, and that all operations were conducted in strict adherence to established protocols.
The situation also comes in the wake of an independent legal review that investigated governance issues raised by former chairman Atanu Chakraborty prior to his resignation in March 2026. This review reportedly found no evidence or documentation to support the ethical and governance concerns he had raised.
